Terms of Service

These Terms of Service ("Terms") govern your access to and use of Daylah and related services provided by Syan Labs Pte. Ltd., a company incorporated in Singapore ("Syan Labs", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Use of the service

Daylah is provided as a family organisation tool. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal use within your household or family group.

You may not sublicense, resell, or otherwise exploit the Service for commercial purposes without our prior written consent.

3. Accounts

To access certain features of the Service, you may need to create an account. You agree to:

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Your content

You retain full ownership of the content, data, and files you submit, upload, store, or otherwise provide through Daylah ("Your Content").

By using the Service, you grant Syan Labs a limited, worldwide, royalty-free licence to host, store, reproduce, transmit, and display Your Content solely to the extent necessary to operate, maintain, and improve the Service and to provide it to you and the users you authorise. This licence does not extend to using Your Content for advertising or AI/ML model training without your explicit consent.

You are solely responsible for Your Content and represent that you have all necessary rights to submit it and to grant us the licence above, and that Your Content does not infringe any third-party rights or violate applicable law.

AI-generated content

The Service may provide features that generate, summarise, classify, extract, or otherwise process content using automated systems, including AI or machine learning. Such outputs are provided for informational purposes only and may be inaccurate, incomplete, or unsuitable for your intended use.

Syan Labs does not guarantee the accuracy, reliability, or suitability of any AI-generated or automated output. You are responsible for reviewing and evaluating such outputs before relying on them, sharing them, or using them in any important decision.

The Service does not provide legal, medical, financial, or other professional advice. You should not rely on any AI-generated output as a substitute for professional judgement or advice.

5. File & data exchange

The Service may allow you to upload, download, sync, and share files and data between devices and other users in your family group. When you use these features:

We are not responsible for any loss or corruption of files resulting from events outside our reasonable control. We recommend maintaining independent backups of important files.

You acknowledge that the Service is not a backup or archival service. While we implement reasonable safeguards, you are responsible for maintaining independent copies of important data and files. To the maximum extent permitted by applicable law, Syan Labs will not be liable for any loss, corruption, or deletion of data except to the extent caused by our wilful misconduct or where liability cannot be excluded under applicable law.

You should not rely on the Service as your sole storage or backup solution.

7. Intellectual property complaints

We respect the intellectual property rights of others and expect users to do the same. If you believe that content available through the Service infringes your copyright, trademark, or other intellectual property rights, you may submit a notice to hello@syanlabs.com with sufficient detail for us to investigate, including your contact information, a description of the work or right allegedly infringed, the location of the allegedly infringing material, and a statement that you have a good-faith belief that the disputed use is not authorised.

We may remove or disable access to allegedly infringing content, request additional information, and terminate or restrict accounts of repeat infringers where appropriate.

8. Children & family accounts

Accounts must be created and managed by adults (18 or over, or the applicable age of majority). The Service may allow adult account holders to create profiles or shared spaces for children within their family group. In doing so, the adult account holder:

We do not knowingly permit children under 13 to create independent accounts. If we become aware that a child under 13 has created an independent account, we will take steps to remove that account and associated data.

9. Availability & changes

We aim to provide a reliable and high-quality Service, but we do not guarantee uninterrupted or error-free availability. We may modify, suspend, or discontinue any feature or part of the Service at any time.

Where we make material changes that adversely affect your use of the Service, we will endeavour to provide reasonable advance notice via the Service or by email. Your continued use of the Service after such changes constitutes your acceptance of them.

10. Fees & paid features

Certain features of the Service may require payment of fees or the purchase of a subscription. If and when paid features are introduced, the applicable pricing, billing frequency, feature scope, and payment terms will be presented to you before purchase.

By purchasing a paid feature or subscription, you agree that:

If you are an EU or UK consumer, you may have a right to cancel within 14 days of purchase unless an exception applies, including where digital content or services have begun with your prior acknowledgement and consent, to the extent permitted by law. Any specific refund or cancellation rights applicable to a paid feature will be disclosed at the point of purchase.

11. Intellectual property

The Service, including its design, software, branding, text, graphics, and related materials (excluding Your Content), is owned by Syan Labs or its licensors and is protected by applicable intellectual property laws including copyright, trademark, and trade secret law.

These Terms do not grant you any ownership rights in the Service. You may not use our trademarks, logos, or branding without our prior written consent.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without any obligation to you.

12. Termination

You may stop using the Service and delete your account at any time through the account settings or by contacting us at hello@syanlabs.com.

We may suspend or terminate your access to the Service, in whole or in part, at any time if:

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4, 11, 13, 14, 15, 16, and 17) will survive.

Following account deletion, we will handle your data in accordance with our Privacy Policy.

13. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

Nothing in these Terms limits or excludes any statutory rights you may have as a consumer under the laws of your jurisdiction that cannot be limited or excluded by agreement.

14. Limitation of liability

To the maximum extent permitted by applicable law, Syan Labs and its officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) SGD 100.

These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability will be limited to the greatest extent permitted by law.

If you are a consumer in the EU or UK, nothing in these Terms affects your statutory rights, including rights under applicable consumer protection legislation that cannot be waived by contract.

15. Indemnification

You agree to indemnify, defend, and hold harmless Syan Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or the rights of any third party.

16. Dispute resolution

Informal resolution first

Before filing any formal legal claim, you agree to first contact us at hello@syanlabs.com and give us 30 days to attempt to resolve the dispute informally. We will make reasonable efforts to do the same.

Arbitration

If informal resolution fails, disputes arising from or relating to these Terms or the Service (other than claims for injunctive or other equitable relief) will be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in Singapore, in English, by a single arbitrator appointed in accordance with SIAC rules. The arbitrator's award will be final and binding and may be enforced in any court of competent jurisdiction.

Exceptions

Either party may seek emergency or interim injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims that fall within the jurisdiction of a small claims tribunal may be brought there.

EU & UK consumers

If you are a consumer located in the EU or UK, you retain the right to bring claims before the courts of your country of residence. EU consumers may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr. Nothing in this section overrides mandatory consumer protection rights under your local law.

Class action waiver

To the extent permitted by applicable law, you agree that disputes will be resolved only on an individual basis and not as part of any class, collective, or representative action. This waiver does not apply to users located in jurisdictions where such waivers are unenforceable.

17. Governing law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

If you are a consumer in the EU, UK, or another jurisdiction with mandatory consumer protection laws, you may also benefit from the protection afforded by the mandatory provisions of the law of your country of residence, which these Terms do not override.

18. General provisions

Entire agreement

These Terms, together with our Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Syan Labs regarding the Service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the effective date at the top of this page and, where appropriate, by notice via the Service or by email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
